When valuing shares it is important to understand the underlying reasons which make a share valuation different either in amount or the underlying analysis. So a share valuation needed for tax purposes will need to be justifiable to the tax authorities, and will need to take account of the governing tax law. In such circumstances there may be specific conceptual issues around the concept of "market value." On the other hand, when acting as an expert witness or single joint expert, a share valuation for a dispute may need to be on the basis of some assumptions which are subject to dispute, such as certain relevant facts. In this context, if the share valuation is to be used as expert evidence then it will also need to be presented in a form acceptable to the court or other tribunal in which it will be used.
A share valuation commences by analysing the rights of the shares, which in the UK are usually based on the Articles of Association, other shareholder agreements, the size of the shareholding and the distribution of other shareholdings. Economic analyses of share valuation value relating to their rights are then developed based on anticipated income, market transactions and underlying net assets.
